On March 1, 2009, Spansion, Inc. and certain of its affiliates and subsidiaries (collectively the “Debtors”) filed voluntary petitions for reorganization under chapter 11 of the United States Bankruptcy Code in the United States Bankruptcy Court for the District of Delaware (the “Court”). The Court ordered the Debtors’ cases to be jointly administered under case number 09-10690.

On March 12, 2009, the Office of the United States Trustee for the District of Delaware appointed a committee of unsecured creditors (the “Creditors’ Committee”). The Court entered an order, dated May 15, 2009, appointing The Garden City Group, Inc. as the official communications agent for the Creditors’ Committee.

On April 16, 2010, the Court entered an order (the “Confirmation Order”) confirming the Debtors’ Second Amended Joint Plan of Reorganization dated April 7, 2010 (as Amended, the “Second Amended Plan”), and on May 10, 2010, the Second Amended Plan went effective.
